Terms of Service

Welcome to Timothy J Turner LLC dba WPHQ (“WPHQ,” “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your purchase and use of services provided by WPHQ.

By purchasing, subscribing to, or using our services, you (“Customer,” “you,” or “your”) agree to these Terms.

1. Services Offered

WPHQ provides website-related services that may include WordPress hosting, website maintenance, technical support, website development, website design, search engine optimization, Shopify support, consulting, and other related digital services.

Some services are offered as recurring monthly or annual subscriptions, while others may be offered as one-time services or separately quoted projects.

The specific services, features, included support or development time, discounts, and other benefits included with your subscription are those identified for the plan you purchased at the time of purchase.

Different plans may include different levels of hosting, maintenance, support, development services, and other benefits. These Terms govern all WPHQ plans and services unless expressly stated otherwise.

2. Subscription Billing and Automatic Renewal

Recurring subscriptions are billed monthly or annually, depending on the billing option selected at the time of purchase.

By purchasing a recurring subscription, you authorize WPHQ and its payment processor to automatically charge your payment method for the applicable subscription fee at the beginning of each billing period until the subscription is canceled.

Monthly subscriptions automatically renew each month. Annual subscriptions automatically renew each year unless canceled before the applicable renewal date.

You are responsible for maintaining a valid payment method and accurate billing information.

If payment cannot be successfully processed, WPHQ may suspend or terminate services after reasonable attempts to resolve the billing issue.

3. Cancellation and Refunds

You may cancel a recurring subscription at any time by contacting WPHQ at admin@wphq.io or through any cancellation method WPHQ makes available to you.

Cancellation prevents the subscription from renewing at the end of the current billing period. Unless otherwise expressly agreed by WPHQ or required by applicable law, cancellation does not entitle you to a refund or prorated refund for any unused portion of the current monthly or annual billing period.

Subscription fees that have already been charged are generally non-refundable.

One-time services, custom development projects, and other non-subscription work may be subject to separate cancellation, deposit, or refund terms communicated at the time of purchase or quotation.

4. Hosting Services

If your plan includes website hosting, WPHQ will provide hosting according to the features and resource limits associated with the plan you purchased.

WPHQ will use commercially reasonable efforts to maintain reliable hosting services but does not guarantee uninterrupted or error-free operation. Website availability may occasionally be affected by maintenance, software failures, network outages, infrastructure providers, cyberattacks, third-party services, circumstances beyond WPHQ’s reasonable control, or other technical issues.

Hosting plans may be subject to storage, traffic, resource, or other reasonable usage limits identified on the applicable product or plan description.

WPHQ may take reasonable action when a hosted website creates security risks, substantially interferes with server performance, violates these Terms, or uses hosting resources in a manner materially inconsistent with the service purchased.

5. Website Maintenance and Support

If your plan includes website maintenance, WPHQ will provide the maintenance services identified for your particular plan.

Depending on the plan purchased, maintenance may include services such as WordPress updates, plugin or theme updates, backups, monitoring, site audits, troubleshooting, security-related maintenance, emergency maintenance, and other services described in the applicable plan.

Maintenance services do not constitute unlimited website development, redesign, content entry, consulting, or technical support unless expressly included in your plan.

WPHQ may determine whether a particular request falls within routine maintenance, included development or support time, or separately billable work.

6. Maintenance-Only Services and Third-Party Hosting

Customers purchasing maintenance or support without WPHQ hosting may continue using their existing third-party hosting provider.

WPHQ cannot control or guarantee the performance, availability, security, configuration, backups, policies, or technical capabilities of third-party hosting providers.

Some maintenance activities may be limited by the customer’s hosting environment. WPHQ is not responsible for outages, performance problems, data loss, configuration restrictions, security incidents, or other problems caused by a third-party hosting provider or infrastructure outside WPHQ’s control.

If an issue requires substantial work because of limitations or problems with a third-party hosting environment, additional development or support charges may apply.

7. Included Development and Support Time

Certain WPHQ plans may include a specified amount of website development, support, or service time during each month of the active subscription.

Unless expressly stated otherwise, included time:

  • May be used only while the applicable subscription remains active;
  • Is intended for reasonable website-related development, support, maintenance, or technical work;
  • Does not accumulate or roll over from one billing period to another;
  • Has no cash value and cannot be refunded, transferred, or exchanged for account credit; and
  • Expires at the last day of the month assuming that the subscription was active during the first of the month. For a subscription that is active during a partial month, partial or full time may still be granted at the discretion of WPHQ.
  • Request made within less than 5 business days before the last day of the month may not be fulfilled in the same month due to scheduling and does not constitute roll over hours.

WPHQ may determine whether a requested task reasonably falls within the scope of included development or support time.

If a request is expected to exceed the customer’s available included time, WPHQ may notify the customer and provide the option to authorize additional billable work, defer the work to a future billing period where appropriate, or receive a separate project estimate.

8. Developer and Support Rate Discounts

Some plans include a percentage discount from WPHQ’s standard developer or support rates.

Any advertised percentage discount applies to WPHQ’s applicable standard rate in effect when the additional work is performed unless otherwise agreed in writing.

A plan providing a discount does not include unlimited development services and does not guarantee a fixed hourly rate for the lifetime of the subscription.

WPHQ may change its standard rates from time to time in accordance with these Terms.

9. Priority and Emergency Services

Certain plans may include priority scheduling, emergency maintenance, or higher-priority support.

“Priority” means that WPHQ will generally attempt to prioritize eligible requests relative to ordinary requests based on the service level purchased. It does not constitute a guarantee that work will begin or be completed within a specific period unless WPHQ has expressly provided a written response-time commitment.

“Emergency” or “critical” maintenance generally refers to significant issues affecting the normal operation, accessibility, or security of a website, such as a website becoming unavailable, a serious malfunction, or a suspected security issue.

Minor content changes, new features, design changes, ordinary development requests, and similar work are generally not considered emergencies.

WPHQ does not provide guaranteed 24-hour emergency response unless expressly stated in the applicable plan or a separate written agreement.

10. Included Website Offers

Certain eligible annual hosting plans may include a new WordPress starter website at no additional website-build charge.

Eligibility and the specific scope of any included website offer are determined by the plan description in effect when the eligible subscription is purchased.

Unless otherwise expressly agreed, an included starter website is intended to provide a professionally built website for a typical small business using WPHQ’s standard website-building process, design systems, themes, tools, and infrastructure.

The included website may incorporate information supplied by the customer, including the customer’s business name, logo, branding, services, products, photographs, service areas, contact information, social profiles, reviews, and other business information.

The included website offer does not necessarily include custom software development, complex functionality, extensive custom integrations, ecommerce functionality, specialized databases, extensive copywriting, premium third-party software or licensing, unusual migration requirements, or other work outside the reasonable scope of a standard small-business website.

If the requested website requires work outside the included scope, WPHQ will discuss the additional requirements with the customer and may provide a separate estimate before performing that work.

The customer will have an opportunity to review the website before launch and is responsible for identifying material errors or necessary corrections.

11. Website Ownership and Continued Hosting

Unless otherwise agreed in writing, after payment of all applicable amounts, the customer owns the customer-specific content and final website materials created specifically for the customer, excluding WPHQ’s pre-existing intellectual property and third-party materials.

WPHQ retains ownership of its pre-existing tools, software, code libraries, development processes, design systems, frameworks, themes, templates, reusable components, know-how, and other materials used across multiple customer projects.

Third-party software, plugins, fonts, photographs, themes, libraries, and other licensed materials remain subject to their respective licenses.

If a customer later cancels WPHQ hosting, WPHQ will reasonably cooperate with the customer in transferring the customer’s website to another compatible hosting provider. Migration or transition work beyond what is included in the customer’s plan may be billable.

Cancellation of hosting does not transfer ownership of WPHQ’s proprietary systems, licenses, tools, or other intellectual property.

12. Website Migrations

When WPHQ assists with moving an existing website to WPHQ hosting or another hosting environment, WPHQ will use commercially reasonable efforts to complete the migration successfully.

Website migrations can be affected by existing hosting configurations, outdated software, proprietary hosting technology, DNS settings, third-party services, licensing restrictions, corrupted data, security problems, or other circumstances outside WPHQ’s control.

WPHQ does not guarantee that every website can be migrated without modification, downtime, compatibility issues, or additional work.

If a migration presents unusual technical requirements or requires substantial remediation beyond the normal scope of the customer’s plan, WPHQ may provide an estimate for additional work.

13. Domains and DNS

Unless expressly included as a separate service, customers are responsible for registering, owning, renewing, and maintaining their domain names.

WPHQ may assist customers with DNS configuration, nameserver changes, domain connections, SSL configuration, and related technical tasks.

Customers are responsible for providing WPHQ with the access reasonably necessary to perform these services.

WPHQ is not responsible for domain expiration, loss of a domain, registrar actions, inaccurate customer account information, or other domain-related problems outside WPHQ’s control.

DNS changes may require time to propagate across the Internet and temporary interruptions may occur during domain, hosting, or DNS transitions.

14. Customer Responsibilities and Access

Customers are responsible for providing accurate information and reasonable cooperation necessary for WPHQ to perform the purchased services.

Depending on the services requested, this may include access to WordPress, hosting accounts, domain registrars, DNS providers, analytics services, ecommerce platforms, third-party software, social accounts, or other systems.

Customers are responsible for ensuring that they have authority to grant WPHQ access to any account, website, software, content, or other resource they provide.

Customers should promptly notify WPHQ when access credentials or other required information change.

Delays caused by missing information, unavailable credentials, lack of customer approval, third-party restrictions, or other circumstances outside WPHQ’s control may delay service completion.

15. Customer Content

Customers retain ownership of the content they provide to WPHQ, including logos, photographs, text, trademarks, business information, videos, and other materials.

By providing content to WPHQ, the customer grants WPHQ permission to use, reproduce, modify, resize, format, and publish that content as reasonably necessary to provide the purchased services.

The customer represents that they have the necessary rights or permissions to use any content supplied to WPHQ.

WPHQ is not responsible for copyright, trademark, privacy, licensing, or other claims arising from materials supplied or specifically requested by the customer.

16. Third-Party Services, Software and Integrations

Websites and services provided by WPHQ may rely on third-party software and services, including WordPress, plugins, themes, hosting infrastructure, payment processors, APIs, analytics providers, email providers, domain registrars, ecommerce platforms, and other external systems.

WPHQ does not control these third parties and cannot guarantee their continued availability, compatibility, pricing, functionality, security, or policies.

Third-party providers may modify or discontinue their services at any time.

If a third-party change requires significant development or reconfiguration of a customer’s website, that work may be treated as additional billable work unless covered by the customer’s plan.

Customers are responsible for third-party fees and licenses unless expressly stated as included in their WPHQ plan.

17. Updates and Compatibility

WPHQ may perform software updates when included in a customer’s plan.

Software updates occasionally introduce compatibility problems, bugs, design changes, or conflicts between WordPress, plugins, themes, hosting environments, APIs, and other systems.

WPHQ will use commercially reasonable care when performing maintenance but cannot guarantee that every third-party software update will be error-free or fully compatible.

If an update causes a problem, WPHQ may attempt to troubleshoot, restore, replace, disable, or otherwise remediate the affected software as reasonably appropriate.

Substantial redevelopment required because third-party software has been discontinued, materially changed, or become incompatible may constitute additional billable work.

18. Backups and Data

When backups are included in a customer’s plan, WPHQ will use commercially reasonable measures to maintain backups according to the applicable service.

No backup system can guarantee that every version of every file or database can always be recovered.

Customers with business-critical data are encouraged to maintain independent copies of important information when appropriate.

WPHQ is not responsible for data loss caused by circumstances outside its reasonable control, including failures of third-party infrastructure, customer actions, malicious attacks, corrupted software, or catastrophic technical failures.

19. Security

WPHQ takes reasonable measures to maintain the security of websites and systems under its management.

However, no website, hosting environment, software platform, or Internet-connected system can be guaranteed to be completely secure.

WPHQ does not warrant that a website will never experience malware, unauthorized access, hacking attempts, software vulnerabilities, denial-of-service attacks, spam, data breaches, or other security incidents.

If security remediation is required, the amount of work included will depend upon the customer’s plan and the nature of the incident. Extensive recovery, forensic investigation, rebuilding, or remediation may require additional charges.

20. Work Performed by Customers or Third Parties

Customers may make changes to their websites or authorize other developers, agencies, hosting providers, plugin vendors, or other third parties to perform work.

WPHQ is not responsible for problems caused by changes made by the customer or third parties.

If WPHQ is asked to diagnose or repair problems resulting from third-party modifications, unauthorized changes, incompatible software, or customer actions, that work may count toward included support or development time or may be separately billable.

21. Acceptable Use

Customers may not use WPHQ services to engage in unlawful activity or to distribute, host, facilitate, or promote content or activity that violates applicable law.

Customers may not intentionally use WPHQ infrastructure to distribute malware, conduct unauthorized security attacks, send abusive or unlawful spam, engage in fraudulent activity, interfere with other systems, or otherwise misuse WPHQ’s services.

WPHQ may suspend services when reasonably necessary to address a serious security threat, unlawful activity, abuse of infrastructure, or material violation of these Terms.

22. Changes to Services and Pricing

WPHQ may modify its services, plan features, standard rates, or pricing from time to time.

Changes affecting an existing customer’s recurring subscription will be communicated as required by applicable law and, when applicable, will take effect at a future billing or renewal period.

Continued use or renewal of the service after an applicable change takes effect constitutes acceptance of the updated service or pricing.

Changes to generally available plan offerings do not necessarily modify the benefits already purchased for a current billing period.

23. Scheduling and Completion of Work

WPHQ will use commercially reasonable efforts to complete requested work within a reasonable timeframe.

Unless a specific deadline has been expressly agreed to in writing, estimated completion dates are estimates rather than guarantees.

Completion times may depend on the complexity of the request, WPHQ’s current workload, the customer’s service level, required customer feedback or approvals, availability of credentials or content, third-party providers, and unforeseen technical issues.

24. Communications

By purchasing services from WPHQ, you agree that WPHQ may contact you using the contact information you provide for purposes reasonably related to your account and services.

These communications may include billing notices, renewal information, service updates, security notices, support communications, onboarding instructions, and other transactional or administrative messages.

25. Termination

WPHQ may suspend or terminate services if a customer materially breaches these Terms, fails to pay amounts due, engages in fraudulent or illegal activity, creates a material security risk, abuses WPHQ infrastructure, or otherwise uses the services in a manner that materially interferes with WPHQ’s ability to provide services.

When reasonably practicable, WPHQ will attempt to provide notice and an opportunity to resolve a correctable issue before terminating service.

Certain serious security, fraudulent, illegal, or abusive activity may require immediate suspension.

Termination does not eliminate amounts already owed for services performed or billing periods that have already begun.

26. No Guarantee of Business Results

WPHQ provides technical, website, hosting, development, maintenance, marketing, and related services intended to support a customer’s online presence and business.

WPHQ does not guarantee specific business results, search engine rankings, website traffic, leads, sales, revenue, advertising performance, conversion rates, or other commercial outcomes unless expressly stated in a separate written agreement.

Results may depend on numerous factors outside WPHQ’s control.

27. Disclaimer of Warranties

To the maximum extent permitted by applicable law, WPHQ’s services are provided on an “as is” and “as available” basis except for obligations expressly stated in these Terms or another written agreement.

WPHQ disclaims warranties that are not expressly provided, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the extent such disclaimers are permitted by law.

Nothing in this section eliminates rights or warranties that cannot lawfully be waived.

28. Limitation of Liability

To the maximum extent permitted by applicable law, Timothy J Turner LLC dba WPHQ shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost business opportunities, loss of goodwill, or loss of data arising from or relating to the services.

To the maximum extent permitted by applicable law, WPHQ’s aggregate liability arising from a particular service or claim shall not exceed the amount paid by the customer to WPHQ for the service giving rise to the claim during the twelve months immediately preceding the event giving rise to the claim.

These limitations do not apply to liability that cannot lawfully be limited or excluded.

29. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Timothy J Turner LLC dba WPHQ and its owners, employees, contractors, and agents from third-party claims, liabilities, damages, and reasonable expenses arising from content or materials you provide, your unlawful use of the services, your violation of these Terms, or your infringement of another party’s intellectual property or other legal rights.

30. Force Majeure

WPHQ will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, severe weather, widespread Internet or utility outages, governmental actions, labor disruptions, war, civil unrest, failures of third-party infrastructure, major cyberattacks, or similar events.

31. Changes to These Terms

WPHQ may update these Terms from time to time to reflect changes to its services, business practices, or legal requirements.

When material changes affect existing customers, WPHQ will provide notice as required by applicable law.

The effective date displayed at the top of these Terms identifies the current version.

32. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.

33. Entire Agreement

These Terms, together with the applicable product or plan description, checkout terms, and any separate written agreement between you and WPHQ, constitute the agreement governing the applicable services.

If a separately executed written agreement expressly conflicts with these Terms, the separately executed agreement will control with respect to the conflicting provision.

34. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict-of-law principles.
